By accessing or using CounselAudit.ai (the “Service”), operated by CounselAudit Inc. (“Company”, “we”, “us”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
CounselAudit.ai is a legal bill vetting and outside counsel management platform. The Service provides AI-powered invoice review, billing guideline enforcement, budget tracking, and related tools for in-house legal teams. The Service uses artificial intelligence to assist with invoice analysis but does not provide legal advice.
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information during registration. The first user to register for an organization becomes the organization administrator.
New accounts receive a 14-day free trial with limited invoice parsing capacity. During the trial, you receive 5 invoice parses for the first user plus 3 per additional team member. At the end of the trial period, your account will become read-only unless you subscribe to a paid plan. Your data will be preserved and accessible in read-only mode.
Paid subscriptions are billed monthly via Stripe. Prices are as listed on our pricing page at the time of purchase. You may upgrade, downgrade, or cancel your subscription at any time through the billing portal in Settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months. Additional invoice parses may be purchased as one-time add-ons.
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the Service; (c) interfere with or disrupt the Service; (d) upload malicious files or code; (e) resell or redistribute the Service without authorization; (f) use the Service to process data you do not have the right to process; (g) circumvent usage limits or quotas.
You retain all ownership rights to data you upload to the Service, including invoices, guidelines, and organizational data (“Your Data”). We do not claim ownership of Your Data. We use Your Data solely to provide and improve the Service. You grant us a limited license to process Your Data as necessary to deliver the Service.
The Service uses artificial intelligence to parse invoices, flag billing issues, and generate reports. AI outputs are provided as recommendations and should be reviewed by qualified personnel before taking action. We do not guarantee the accuracy of AI-generated content. The Service does not constitute legal advice. Your Data may be processed by third-party AI providers (currently Anthropic) subject to their data processing terms. We do not use Your Data to train AI models.
We understand that legal invoices contain sensitive and privileged information. We maintain strict confidentiality of Your Data and implement industry-standard security measures. We do not share Your Data with third parties except as necessary to provide the Service (e.g., AI processing, email delivery) or as required by law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Either party may terminate this agreement at any time. You may delete your account through the Settings page. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 30 days after termination, after which it may be permanently deleted unless otherwise required by law.
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario, Canada.
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
